Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the TalkIsCheap application ("Software") or website ("Service"), you agree to these Terms of Service. If you do not agree, do not use the Software or Service.

2. License Grant

2.1 Lifetime License ($19)

We grant you a non-exclusive, non-transferable license to use the Software on one Apple silicon Mac that you personally own or operate, perpetually. You may deactivate one device and transfer to another at any time.

2.2 Pro Monthly / Annual Subscription

We grant you a non-exclusive, non-transferable license to use the Software on up to three devices for the duration of your active subscription. Includes a monthly quota of 5000 transcriptions, 5000 polishings, 500 voice searches, and 100 file transcriptions.

2.3 Trial (100 free uses)

First-time installations receive 100 free proxy-mode uses. After 100 uses, you must choose one of the paid plans or switch to Bring-Your-Own-Keys / Offline Mode.

3. Your Obligations

• You will not reverse-engineer, decompile, or attempt to extract the source code of the Software beyond what is permitted by applicable law.
• You will not share, resell, rent, or sublicense your license key or activation token.
• You will not use the Service to transmit illegal, harmful, or copyright-infringing content.
• You will not abuse the proxy service (e.g., automated scraping, circumventing quotas, running bots).

4. Subscription Billing

• Subscriptions auto-renew until canceled.
• You can cancel anytime via the Manage Subscription button in the app. Cancellation is effective at the end of the current billing period.
• If a payment fails, we retry for 7 days before canceling the subscription.
• Prices are stated in USD and do not include VAT where applicable. VAT is added at checkout based on your billing country.

6. Intellectual Property

The Software, Service, logo, and all related materials are owned by Benedikt Rapp. These Terms do not transfer any intellectual property rights to you beyond the limited license granted above.

7. Disclaimer of Warranties

The Software is provided "as is" without warranty of any kind. We do not guarantee that the Software will be uninterrupted, error-free, or that transcription accuracy will meet your requirements.

8. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising from these Terms is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

This limitation does not apply to liability for gross negligence, willful misconduct, or personal injury under German law (§§ 309, 310 BGB).

9. Termination

We may suspend or terminate your license if you materially breach these Terms. You may terminate by uninstalling the Software and canceling your subscription (if any).

10. Changes to Terms

We may update these Terms occasionally. Material changes are announced via email at least 30 days in advance.

11. Governing Law

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. Exclusive jurisdiction is [your city], Germany, to the extent permitted by law.
